June 2025: New World Development, a Hong Kong blue-chip, lawfully deferred US$77.2 million of perpetual-bond coupons under the instrument's own terms. No default occurred — the contract expressly permitted it. The market responded as if it had defaulted anyway: shares fell 7.5%, the bonds traded to 20 cents. Welcome to the trust problem of "perpetual" debt.
1. What "perpetual" actually means
Perpetual bonds are legally debt but economically closer to equity: no maturity date, issuer may defer coupons, default is defined narrowly. The "perpetual" name markets durability; the fine print sells optionality — for the issuer.
| Feature | What buyers hear | What the contract says |
|---|---|---|
| "Bond" | Fixed obligation to pay | Coupon deferral is a contractual right |
| "Perpetual" | Permanent income | Permanent for the issuer, optional for the holder |
| "Deferral ≠ default" | Safe | True — but the market prices it as default anyway |
2. Why the market ignored the fine print
- Signal beats contract: a stressed issuer deferring coupons is — whatever the terms say — a solvency signal, and markets price signals.
- Distribution mismatch: perps were sold to private-bank clients as quasi-fixed-income; the deferral option wasn't what buyers thought they owned.
- Blue-chip faith: the assumption that a Hang Seng constituent "would never" created a repricing shock when it did, legally.
RegSir's take
This is a suitability failure disguised as a liquidity event: the instrument behaved exactly as documented, but the distribution chain sold it as something it wasn't. The SFC suitability rules (CoC 5.2) and PI exemptions were designed for exactly this gap — yet private-bank perp sales to "professional investors" relied on the client reading the document the sales process implied they needn't read. When a lawful deferral trades like a default, the problem isn't the clause — it's who was sold the clause.
3. Compliance takeaways
- Perp suitability is front-loaded: the deferral right must be the headline of the recommendation, not footnote risk.
- PI classification ≠ understanding: a client who qualifies as a PI still needs the instrument's optionality explained — technically sophisticated ≠ product-aware.
- Issuer communication: lawful deferrals still trigger market-as-default reactions — disclosure strategy should treat them as distress events, not routine elections.
